Terms of Service

These Terms of Service ("Terms") govern your use of the SGsmile dental clinic management platform ("Service") operated by SGsmile ("we", "us", "our"). By accessing or using our Service, you agree to be bound by these Terms.
1. Eligibility
You must be a registered dental clinic or dental professional in Singapore to use SGsmile. You must be at least 18 years old and have the authority to bind your clinic to these Terms.
2. Account Registration
- You must provide accurate and complete information during registration
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- One account per clinic; multiple users can be added under a single clinic account
3. Acceptable Use
You agree to use SGsmile only for lawful purposes related to dental clinic management. You must not:
- Use the Service for any illegal activity
- Store data unrelated to dental clinic operations
- Attempt to gain unauthorized access to other accounts or systems
- Reverse engineer, decompile, or disassemble the Service
- Share your account credentials with unauthorized persons
- Use the Service to send spam or unsolicited communications
4. Patient Data Responsibility
As a clinic using SGsmile:
- You are the data controller for all patient data entered into the system
- You are responsible for obtaining proper consent from patients before storing their data
- You must comply with Singapore's Personal Data Protection Act (PDPA) and healthcare regulations
- SGsmile acts as a data processor on your behalf
5. Subscription & Billing
- SGsmile offers a 14-day free trial. No credit card required to start
- Paid subscriptions are billed monthly or annually via Stripe
- Prices are in Singapore Dollars (SGD) and are subject to prevailing GST
- You may cancel your subscription at any time; access continues until the end of the billing period
- Refunds are not provided for partial billing periods
- We reserve the right to adjust pricing with 30 days' notice
6. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control (internet outages, cloud provider issues, etc.).
7. Data Backup & Recovery
We perform automated daily backups of all data. In the event of data loss, we will make reasonable efforts to restore from the most recent backup. We recommend clinics maintain their own records as a precaution.
8. Intellectual Property
SGsmile and its original content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. Your data remains yours — we claim no ownership over any data you enter into the system.
9. Limitation of Liability
To the maximum extent permitted by Singapore law:
- SGsmile is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for clinical decisions made using information from the platform
10. Termination
- You may close your account at any time by contacting us
- We may suspend or terminate accounts that violate these Terms
- Upon termination, we will provide a 30-day window to export your data
- After the export window, data will be permanently deleted
11. Governing Law
These Terms are governed by the laws of the Republic of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the Singapore courts.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.
